1. Agreement
By accessing or using Vrajeshwar Enterprise Private Limited's ("Vrajeshwar") services, you agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.
2. Services
Vrajeshwar provides a Communication Platform as a Service (CPaaS) including messaging APIs, campaign management, AI automation, and related enterprise communication tools. Service specifications are described in your Order Form or subscription plan.
3. Account & Registration
You must provide accurate registration information and maintain the security of your account credentials. You are responsible for all activities under your account. Notify us immediately of unauthorized access.
4. Subscriptions & Payments
Subscriptions are billed in advance on a monthly or annual basis. All fees are exclusive of applicable taxes including 18% GST. Payment is due within 30 days of invoice. Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for overdue accounts after 15 days notice.
5. Acceptable Use
You agree not to use our services for: spam or unsolicited messages, fraudulent activities, harassment, distribution of malware, violation of telecom regulations (including TRAI DLT), sending messages without proper opt-in consent, or any illegal purpose. We reserve the right to suspend accounts violating acceptable use policies.
6. Service Level Agreement
Enterprise plans include a 99.99% uptime SLA. Service credits are calculated as a percentage of monthly fees for downtime exceeding SLA thresholds. Scheduled maintenance windows are excluded. Full SLA terms are available in your Order Form.
7. Intellectual Property
Vrajeshwar retains all rights to the platform, APIs, documentation, and related intellectual property. You retain ownership of your content and data. You grant us a limited license to process your data solely to provide services.
8. Limitation of Liability
To the maximum extent permitted by law, Vrajeshwar's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. Termination
Either party may terminate with 30 days written notice. We may terminate immediately for material breach, non-payment, or acceptable use violations. Upon termination, your access ceases and data is retained per our Privacy Policy.
10. Governing Law & Jurisdiction
These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
